Important | Election Announcement
Dear Club Members,
As you know, the club has suspended in-person meetings through the first quarter of 2021 due to the COVID-19 pandemic. This has important implications from a governance perspective. Our Bylaws require us to hold our annual meeting in November to elect officers and directors for the following calendar year. The Bylaws read "Board members shall be elected by ballot at the annual meeting of members in November by a simple majority of those present at the annual meeting." Given the extraordinary circumstances in which we find ourselves, our inability to conduct a proper in-person Annual Meeting, and the possibility that many members may be unable to participate in a virtual Annual Meeting, the Board took up this issue at its August 30, 2020 meeting. Michael Barber made a motion to extend the terms of all Officers and Directors to the end of 2021. Each Officer and Director agreed to serve for an additional year. The motion passed unanimously with all Board members in attendance via Zoom.
The Board recognizes that this is an extraordinary action to take in circumstances not anticipated in the Bylaws. If any member objects to extending the Board member terms for one year, then we will call an election on Saturday at the beginning of the Zoom meeting at which time the slate of candidates will be the current board members, and any member may nominate himself/herself or another member for a position. The current Board members are listed below for your reference. If there are no objections, then all the terms will extend one year through calendar year 2021.
